By accessing or using IVAI Pro ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

IVAI Pro is an AI-powered real estate investment analysis platform that provides:

• Property valuation estimates and comparative market analysis
• Investment strategy recommendations (Retail, Wholesale, Seller Financing, Note Sale, BRRRR)
• Cash flow projections and financial calculations
• Seller motivation scoring and negotiation insights
• Market data aggregation and analysis

3. Important Disclaimers

You acknowledge that:

• All investment decisions are made at your own risk
• You should conduct independent due diligence on all properties
• You should consult with licensed real estate professionals, attorneys, CPAs, and financial advisors
• Market data may be delayed, incomplete, or inaccurate
• AI-generated analysis is subject to limitations and errors

4. User Responsibilities

You agree to:

• Provide accurate information when using the Service
• Use the Service only for lawful purposes
• Not attempt to reverse engineer, decompile, or hack the Service
• Not share your account credentials with others
• Not scrape, harvest, or copy data from the Service without permission
• Not use the Service to spam, harass, or violate others' rights
• Comply with all applicable laws and regulations

5. Subscription Plans & Billing

IVAI Pro offers multiple subscription tiers:

• Free Plan: Limited to 5 properties, 50 AI queries/month
• Pro Plan ($49/month): 50 properties, 500 AI queries/month
• Agency Plan ($149/month): 500 properties, 2000 AI queries/month

Subscriptions renew automatically unless canceled. You may cancel at any time through your account settings. Refunds are provided on a case-by-case basis within 14 days of initial purchase.

We reserve the right to change pricing with 30 days' notice to existing subscribers.

6. Data Sources & Accuracy

IVAI Pro aggregates data from third-party sources including:

• Public MLS data and property records
• RentCast API (rental estimates, property valuations)
• Perplexity AI (market research)
• User-uploaded CSV files

We make commercially reasonable efforts to ensure data accuracy, but we do not guarantee that all data is current, complete, or error-free. Always verify critical information independently.

7. Intellectual Property

The Service, including all software, algorithms, AI models, branding, and content, is owned by IVAI Pro and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of data you upload (CSV files, property addresses). By uploading data, you grant us a license to process and analyze that data solely to provide the Service.

You agree to indemnify and hold harmless IVAI Pro from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

10. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or other reasons at our sole discretion. Upon termination, your right to use the Service immediately ceases.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the new Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of [Your State], without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

You waive any right to participate in class action lawsuits or class-wide arbitration.
